These Terms and Conditions ("Terms") govern your use of the Ferrotype website and any services provided by Ferrotype. By accessing our website or engaging our services, you agree to these Terms. Please read them carefully.

- "Service" — AI services including Multi-Modal AI Solutions, Workflow Automation Advisory, and AI Chatbot Maintenance
- "User", "you" — any individual or organisation accessing this website or engaging our services
- "Agreement" — these Terms, together with any written service agreement or proposal accepted by both parties
- "Content" — all text, data, images, and materials on this website
2. Acceptance of Terms
By using this website, you confirm that you are at least 18 years of age and have the legal capacity to enter into binding agreements. If you are acting on behalf of an organisation, you confirm that you are authorised to do so. If you do not agree to these Terms, please do not use this website or our services.
3. Service Description
Ferrotype provides AI-related services to businesses and organisations in Hong Kong and the region. Services are described on our website and in written proposals or service agreements. Service availability is subject to capacity and suitability assessment. We reserve the right to decline any engagement.
Specific terms for individual engagements — including scope, deliverables, timelines, and payment — are set out in written service agreements. In the event of conflict between these Terms and a service agreement, the service agreement prevails.
4. User Responsibilities
When using our website or engaging our services, you agree to:
- Provide accurate and complete information when contacting us or entering into service agreements
- Not use this website for any unlawful purpose or in any manner that could damage, disable, or impair the site
- Not attempt to gain unauthorised access to any part of this website or its related systems
- Not transmit unsolicited communications or material that is harmful, offensive, or in violation of applicable law
- Cooperate reasonably during service delivery, including providing necessary access, information, and review feedback
5. Intellectual Property
All content on this website — including text, design, code, graphics, and structure — is the property of Ferrotype or its licensors and is protected by applicable intellectual property laws. You may not reproduce, copy, distribute, or create derivative works from any content without our prior written consent.
Intellectual property created during a service engagement is governed by the relevant service agreement. Unless otherwise agreed in writing, Ferrotype retains ownership of general methodologies, frameworks, and tools, while delivering to clients a licence to use the specific deliverables produced for their engagement.
6. Payment Terms
Payment terms for specific engagements are set out in individual service agreements. In general:
- All prices are quoted in Hong Kong Dollars (HKD) unless otherwise stated
- Payment is due within the timeframe specified in the relevant invoice or service agreement
- Late payment may result in suspension of services pending resolution
- For ongoing retainer services, cancellation notice periods are specified in the service agreement
Refund terms are addressed in individual service agreements. Completed advisory reports and delivered system components are generally non-refundable once delivered and accepted.
7. Service-Specific Terms
Multi-Modal AI Solutions: Delivery scope, timeline, and acceptance criteria are defined in the service agreement. Changes to scope during delivery require written agreement and may affect timeline and cost.
Workflow Automation Advisory: The advisory engagement produces a written report based on information available during the engagement period. Recommendations are advisory only; Ferrotype is not responsible for implementation decisions made by the client.
AI Chatbot Maintenance: The service scope is defined in the service agreement. Maintenance of chatbots built by third parties is subject to a technical review and may be declined if the system cannot be adequately maintained. A minimum engagement period applies as specified in the agreement.
8. Disclaimers
This website and its content are provided "as is" without warranties of any kind, either express or implied. We make no representations about the accuracy, completeness, or suitability of the content for any purpose.
AI systems involve inherent uncertainty. We do not warrant that any system we deliver will achieve specific outcomes, and actual results will depend on factors including data quality, implementation context, and ongoing maintenance. Our advisory reports are based on information available at the time and are not a warranty of results from implementing the recommendations.
9. Limitation of Liability
To the fullest extent permitted by law, Ferrotype's aggregate liability for any claim arising from or related to these Terms or any service engagement shall not exceed the total fees paid by the client in the three months preceding the claim.
We shall not be liable for indirect, consequential, incidental, special, or punitive damages, loss of profit, loss of data, or loss of business opportunity, even if we have been advised of the possibility of such loss.
10. Indemnification
You agree to indemnify and hold harmless Ferrotype and its personnel from any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, your use of our services in a manner inconsistent with the service agreement, or your infringement of any third-party rights.
11. Termination
Either party may terminate a service engagement in accordance with the terms of the relevant service agreement. We reserve the right to terminate access to this website or discontinue services to any party in breach of these Terms. On termination, provisions relating to intellectual property, liability, and dispute resolution shall survive.
12. Dispute Resolution
These Terms are governed by the laws of Hong Kong. In the event of a dispute, both parties agree to first attempt resolution through good faith discussion. If informal resolution fails within 30 days, the dispute shall be submitted to the courts of Hong Kong, which shall have exclusive jurisdiction.
13. General
- Entire agreement: These Terms, together with any service agreement, constitute the entire agreement between the parties on the subject matter
- Severability: If any provision is found to be unenforceable, the remaining provisions remain in force
- Waiver: Failure to enforce any provision does not constitute a waiver of that provision
- Assignment: You may not assign your rights or obligations without our written consent
14. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with a revised effective date. Continued use of this website after posting constitutes acceptance of the revised Terms. We recommend reviewing this page periodically.
